SKADD Partners – Affiliate Programme Terms & Conditions

1. Introduction

These Terms & Conditions (“Agreement”) set out the relationship between:

• SKADD Media Ltd / SKADD Gaming Ltd (hereinafter “Company”, “SKADD Partners”, “we”, “our”), the operator of the SKADD Partners Affiliate Programme, and

• The Affiliate (hereinafter “Affiliate”, “you”, “your”), being any individual or company who applies and is accepted into the SKADD Partners Programme.

By registering as an Affiliate, you agree to be bound by these Terms.

2. Definitions

• Affiliate Programme: The SKADD Partners affiliate programme that enables Affiliates to earn commission by referring players to brands within the SKADD Gaming network.

• Affiliate Account: The technical account created for the Affiliate to track referrals, commissions, and performance.

• Brands: All casinos, sportsbooks, and gaming sites operated under the SKADD Gaming network.

• New Customer / New Depositing Customer: A player who has not previously held an account with any SKADD Gaming brand and who registers and deposits through Affiliate tracking links.

• Net Revenue: Gross revenue generated by referred players, less transaction costs, chargebacks, bonuses, admin fees, taxes, and other applicable deductions.

• Commission: The revenue share, CPA, or hybrid model agreed with the Affiliate.

3. Affiliate Obligations

• Affiliates may only use approved marketing materials provided in the SKADD Partners Media Gallery.

• Affiliates must comply with all applicable gambling, advertising, and data protection laws in the markets they promote.

• Affiliates may not:

  • Target underage or vulnerable persons.

  • Use spam, unsolicited emails, or SMS marketing.

  • Bid on SKADD brand names or register similar domains.

  • Mislead players regarding offers, bonuses, or winnings.

• Affiliates are responsible for ensuring their websites and channels are compliant with UKGC, EU, and local market regulations.

4. Company Rights & Obligations

• SKADD Partners reserves the right to approve or reject Affiliate applications at its sole discretion.

• SKADD will provide Affiliates with approved marketing creatives and tracking tools.

• SKADD may audit Affiliate traffic to ensure compliance and reserves the right to withhold commission from fraudulent, bonus-abusive, or non-compliant activity.

5. Commission & Payments

• Commissions are calculated monthly based on the agreed Reward Plan.

• Payments are made in [GBP/EUR/USD/ZAR] by the 15th working day of each month, provided the minimum threshold of [£100/€100/$100/ZAR equivalent] is met.

• Negative carry-over may apply unless otherwise agreed in writing.

• SKADD reserves the right to adjust commissions if:

  • An Affiliate fails to deliver a minimum number of new depositing players.

  • Fraudulent or non-compliant activity is detected.

6. Intellectual Property

• All trademarks, content, and creative materials remain the sole property of SKADD Gaming.

• Affiliates are granted a non-exclusive, revocable licence to use SKADD marketing materials strictly for the purpose of this Agreement.

7. Warranties & Compliance

• Affiliates must operate responsibly, ensuring all advertising clearly states age restrictions (18+) and includes responsible gambling messaging (e.g., links to BeGambleAware).

• Affiliates must not promote gambling as a financial solution or misrepresent chances of winning.

8. Term & Termination

• This Agreement remains in force until terminated by either party with 30 days’ written notice.

• SKADD may immediately terminate the Agreement if the Affiliate:

  • Breaches compliance requirements,

  • Engages in fraudulent activity, or

  • Fails to deliver new depositing players for a consecutive 6-month period.

9. Limitation of Liability

• SKADD shall not be liable for indirect or consequential damages, including loss of profits or data.

• Total liability shall not exceed the commissions paid to the Affiliate in the 12 months prior to a claim.

10. Governing Law & Jurisdiction

This Agreement is governed by and construed in accordance with the laws of England & Wales, and disputes shall be subject to the exclusive jurisdiction of the English courts.
